En pratique, pour les institutions de prévoyance et les mutuelles, le bulletin d'adhésion à un règlement ou à un statut est réservé aux petites entreprises. La souscription d'un contrat d'assurance de groupe est préférée lorsque le régime mis en place
concerne une grande entreprise employant un nombre important de salariés.
II. Le contenu du contrat
Le contenu du contrat d'assurance est régi par des règles différentes selon que le
contrat est conclu avec une entreprise d'assurance, une institution de prévoyance
ou une mutuelle. Néanmoins, le législateur a institué une certaine complémentarité des régimes applicables à ces trois organismes. En effet, outre l'harmonisation
des règles relatives au contrôle et à la solvabilité des organismes assureurs réalisée
sous l'influence du droit européen de l'assurance (v. supra), la loi « Evin » du 31 décembre 1989 comporte des dispositions communes à tous les contrats de protection
sociale complémentaire quel que soit l'organisme avec lequel ils sont conclus. Ces
règles concernent essentiellement la protection des droits des assurés lors de la
souscription (v. infra) ou de la résiliation du contrat (v. infra) ou encore lors de la
rupture du contrat de travail (v. infra). Enfin, malgré les différences qui subsistent,
un certain rapprochement a été réalisé entre les dispositions des Codes des assurances, de la sécurité sociale et de la mutualité.
Le contrat d'assurance est soumis à des exigences rédactionnelles. Il doit, en outre,
comporter des mentions obligatoires.
A. Exigences rédactionnelles
Le contrat doit être écrit (C. assur., art. L. 113-3, al. 1 ; CSS, art. R. 932-1-1, al. 1 ;
C. mut., art. L. 114-1). Le Code des assurances et le Code de la sécurité sociale imposent, en outre, qu'il soit rédigé en français et en caractères apparents (C. assur.,
art. L. 113-3, al. 1 ; CSS, art. R. 932-1-1, al. 1). Le Code des assurances exige même
des caractères très apparents - en gras, en encadré... - pour les clauses relatives
aux nullités, aux déchéances et exclusions (C. assur., art. L. 112-4, dernier al.), sauf
pour celles qui sont prévues par la loi (Cass. 1re civ., 1er déc. 1993, n° 89-12854).
Des caractères très apparents sont également exigés par le Code des assurances
et le Code de la mutualité pour la durée du contrat (C. assur., art. L. 113-15, al. 1 ;
C. mut., art. L. 221-9).
