L'échange

L'échange est une des plus vieilles pratiques commerciales. L'Encyclopédie Universalis définit l'échange comme « l'opération par laquelle
[les individus échangent] des biens ou des personnes ». Il s'agit donc,
aussi loin qu'il soit possible de remonter, d'une opération de troc. Plus
juridiquement, l'échange est défini par l'article 1702 du Code civil
comme étant « le contrat par lequel les parties se donnent respectivement une chose pour une autre ».

CARACTÈRES ET FORMATION
Le contrat d'échange partage plusieurs de ses facettes avec le contrat
de vente. Il est, comme le contrat de vente, consensuel et synallagmatique (C. civ., art. 1703). Il se forme donc simplement par l'accord
mutuel des parties.
En revanche, à la différence de la vente, la rescision pour cause de
lésion (v. Fiche 2), ne s'applique pas au contrat d'échange (C. civ., art.
1706).
L'échange prévoit une obligation mutuelle de donner (C. civ., art. 1702)
et il ne peut porter sur des services. L'article 1702 étant clair : il faut
donner une « chose » (sur laquelle le copermutant dispose de droit)
contre une autre.

Le contrat d'échange opère un transfert de propriété et porte sur tous
les biens meubles corporelles ou incorporelles qui peuvent faire l'objet
d'une vente (C. civ., art. 1707).

Cela exclut le contrat innomé (non prévu par un texte spécifique),
qui porterait sur l'échange d'un bien (meuble ou immeuble) sur lequel
des droits préexistaient et, un service. Un contrat analogue devrait
être analysé comme un contrat innommé à titre onéreux imposant
un transfert de propriété contre le service de prestations déterminées
(Cass. 1re civ., 12 oct. 1967 : Bull. civ. I, n° 292).
Enfin, c'est le point probablement le plus important du contrat
d'échange, il s'agit d'un contrat onéreux (de nouveau comme la
vente). Ainsi, lorsque les biens échangés sont d'une valeur significativement différente, la loi prévoit que les parties peuvent ajouter une
somme d'argent à l'objet échangé. Il s'agit d'une « soulte ».
