européen.
Un produit est « référençable » chez un assureur s'il respecte un certain
nombre de critères, portant, tant sur les caractéristiques du produit, telles
que sous-jacent, émetteur, devise, payoff, etc. que sur la documentation.
Chaque assureur a ses propres critères, qui sont variables d'un établissement
à un autre.

A * Prospectus juridique
Comme nous l'avons vu au point précédent, l'émetteur de produits structurés
doit produire un prospectus juridique (base prospectus) qui va
servir de « chapeau » à tous les produits structurés qu'il sera amené à
émettre en Offre au Public au sein de l'Union européenne et qui seront
listés sur un marché réglementé de l'Union européenne.
Il s'agit d'un document juridique à caractère exhaustif, de plusieurs centaines
de pages qui a plusieurs sections :
- il contient toutes les informations financières sur les émetteurs et les
garants de notes/certificats ainsi que les facteurs de risque ;
- il décrit les termes généraux et conditions des notes/certificats ;
- il décrit toutes les caractéristiques possibles des notes/certificats, y
compris tous les payoffs et sous-jacents possibles.
Il peut être complété par un supplément qui sera établi au cas où un élément
nouveau, une erreur ou une inexactitude relative à une information
incluse dans le prospectus juridique serait de nature à affecter l'évaluation
des notes/certificats.
Il est « visé » par le régulateur, l'AMF en France, et doit être revu une fois
par an, période pendant laquelle l'émetteur ne pourra émettre de nouveaux
produits, cela pouvant prendre quelques jours.
Il doit être, par ailleurs, consultable via des liens web publics, de l'entité
qui émet et du marché réglementé. Il n'y a cependant pas d'obligation à
transmettre ce document à l'investisseur.
