Meeting of the
International Board
of Directors was held April
21-24, 2010 at the Sons of
Norway Headquarters in
Minneapolis, Minnesota.
The following Officers and
Directors were present:
President Dan Rude, Vice
President Marit Kristiansen,
Secretary Audun Gythfeldt,
Treasurer Gene Brandvold,
and Directors Jon Tehven,
Bill Fosmoe, Barbara Berntsen,
Elaine Nelson, Jostein
Bakken, Sherrill Swenson,
Erik Brochmann. Attending
from the staff were Chief
Executive Officer Eivind
Heiberg and Legal Counsel
David Ness. Director Ernst
Granly was unable to attend
due to travel constraints.
Chief Executive Officer
Heiberg provided an overview
of his written reports to
the Board and was called on
by the Board to address issues
throughout the meeting.
The Sons of Norway Director
of Agencies, Director of
Information Technology, Director
of Insurance Services,
Actuary, Controller, Foundation
Director and Interim
Fraternal Director all joined
the meeting to give verbal
summaries and supplements
to their written reports.
The following Board of
Director Committees met at
length: Corporate Matters
Committee: Chairman Marit
Kristiansen, Jostein Bakken,
Sherrill Swenson and Jon
Tehven; Benefits Committee:
Erik Brochmann, Chairman,
Ernst Granly, Barbara
Berntsen and Elaine Nelson.
Ernst Granly was not in attendance;
Finance/Investment
Committee: Gene Brandvold,
Chairman, Bill Fosmoe and
Audun Gythfeldt.
Minutes were approved
for the International Board
Meeting held November
4-7, 2009.
Secretary Audun Gythfeldt
read several items of correspondence
received by the
Board since its last meeting.
Consulting Actuary Steve
Griffith of Griffith, Ballard
& Co. reviewed the Statutory
Analysis of Operations
and Statutory Analysis of
Operations by Product
Line for the period ending
December 31, 2009.
The Sons of Norway Investment
portfolio manager
from Delaware Investment
Advisors presented a report
on Sons of Norway investments
and commented on
how the current financial
environment has had an
impact on consumers.

seconded and carried to table
a change to the membership
categories until a feasibility
study has been conducted and
the International Board has
the opportunity to vote on it
through a teleconference.
BDI>DC was made by the
Benefits Committee, and
carried to approve the grant
of $506 for lodge improvements
to Nidaros 2-016.
BDI>DC was made by the
Benefits Committee, and
carried to approve receipt
of the District Presidents'
Counsel report.
BDI>DC was made by
the Finance/Investment
Committee, and carried for
approval of the Audit Committee
Report.
BDI>DC was made by the
Finance/Investment Committee,
and carried to revise Section
D of the Audit Charter so
the committee members are
appointed for staggered terms
of one, two and three years.
