he following officers and
directors were present at
the Fall International Board
of Directors meeting: President Dan
Rude, Vice President Marit Kristiansen,
Secretary Audun Gythfeldt,
Treasurer Bill Fosmoe, and Directors
Jon Tehven, Erlene Stevenson, Barbara
Berntsen, Elaine Nelson, Ray Knutson,
Janie Kelly, Ron Stubbings and Ernst
Granly. Attending from the staff were
Chief Executive Officer Eivind Heiberg
and Legal Counsel David Ness.
Legal Counsel Ness, in addition to
his customary report to the Board, led
a discussion about Board oversight
and responsibilities.
BDI>DC was made and seconded to
authorize the International President to
form committees as necessary to look
into the financial matters of lodges that
have problems. Motion carried.
CEO Heiberg provided an overview
of his written reports to the Board
and was called on to address issues
throughout the meeting. The Sons of
Norway director of agencies, director
of information technology, director of
insurance services, actuary, controller,
fraternal director and foundation director
all joined the meeting to give verbal
summaries and supplements to their
written reports.

The motion to reject the application
from Mandt Lodge 5-314 was carried.
The meeting began on Wed., April 27.

The following Board of Director
committees met at length: Corporate
Matters Committee: Chair Marit Kristiansen,
Jon Tehven, Janie Kelly and
Ron Stubbings; Benefits Committee:
Chair Barbara Berntsen, Erlene Stevenson,
Elaine Nelson and Ernst Granly;
Finance Committee: Chair Bill Fosmoe,
Audun Gythfeldt and Ray Knutson.
CEO Eivind Heiberg introduced
members of the new investment advisor
group, BTC Capital Management,
who gave a comprehensive report of the
organization's portfolio after the transfer
from Delaware Investment.
Actuary Dean Stiller, Director of
Agencies Len Carlson and Fraternal
Director Linda Pederson reported on
the current status of various strategic
initiatives within the organization.
Kevin O'Neill, commercial real
estate broker with Colliers International,
and Bob Strachan with the
Shenehon Company, gave a presentation
to the Board about appraisal of
commercial properties.
Board members, district presidents
and senior staff participated in a
strategic planning session led by Brian
McDermott and Gerry Sexton from
Growthworks, Inc.
Joe Annotti, President and CEO
of the American Fraternal Alliance,
presented a program about enhancing
board governance.

invited to join in several of the presentations
made to the board. The following
district presidents were present: Ralph

Bennett, District 5; Lyle Berge, District 6;
Gloria Benazic, District 7; Odd Harald
Olsen, District 8.

the 2012 International Convention
budget prepared by the host committee
and adjusted by the Board of Directors.

Investment Committee, and carried to
approve the investment review through
Aug. 31, 2011 and transactions prepared
by BTC Capital Management.
BDI>DC was made by the Finance/
Investment Committee, and carried to
approve the 401(k) employee plan costs
as presented.

Investment Committee, and carried
to approve the 2012 total society
operating budget.
BDI>DC was made by the Finance/Investment

the 2012 general expense budget.

five-year projection.
