Meeting of the
International Board
of Directors was held at the
Sons of Norway Headquarters
in Minneapolis, Minn. The
following Officers and Directors
were present: President Marit
Kristiansen, Vice President
Ralph Peterson, Secretary
Jon Tehven, Treasurer Bill
Fosmoe, and Directors Bob
Hoover, Erlene Stevenson,
Marci Larson, Elaine Nelson,
Ray Knutson, Janie Kelly, Ron
Stubbings and Ernst Granly.
Attending from the staff were
Chief Executive Officer Eivind
Heiberg and Legal Counsel
David Ness.
On Wed., April 24 through
Thur. morning, April 25, the
International Board and senior
staff met offsite, in Minneapolis,
for a strategic planning retreat
led by Beth Michaels, president
of Primer, Michaels.
An informal premeeting
dinner was held on Wed.,
April 24 with board members,
CEO and Legal Counsel at the
Normandy Inn, where there was
a discussion of the legal issues.
Minutes were approved, with
housekeeping changes, for the
board meetings held Nov. 7, 2012;
Nov. 7-10, 2012; Nov. 30, 2012;
Jan. 11, 2013; Feb. 11, 2013; March 5,
2012; and March 12, 2013.
MOTION was made and
seconded to table the 2012
International Lodge Meeting
minutes until the fall meeting.
Corrections are to be submitted
to Secretary Tehven by Aug. 1.
The Board received committee
reports from the Vice President's
Network, International
Youth Director, the Executive
Committee, and the 2014
International Convention.
District Conventions are to
be held:
District 1: June 12-14, 2014 in
Duluth, Minn.
District 2: May 29-31, 2014 in
Eugene, Ore.
District 3: June 11-14, 2014 in
Albany, N.Y.
District 4: June 19-21, 2014 in
Fargo, N.D.
District 5: June 24-29, 2014 in
Delevan, Wis.
District 6: June 22-25, 2014 in
Palm Desert, Calif.
District 7: May 29-31, 2014 in
New Westminister, B.C.
District 8: June 12-14, 2014 in
Haug i Dalane, Norway
International Convention:
Week of Aug. 17-24 in
Jacksonville, Fla. (exact dates to
be determined)

Jeff Birdsley and Jon Augustine
of BTC Capital Management
presented the Sons of Norway
investment portfolio. The
presenters provided a review
of the economic outlook and
offered recommendations to
revise our current investment
policy to better reflect our
investment strategy.
Chief Executive Officer Eivind
Heiberg provided an overview of
his written report to the Board
and was called on by the Board
to address issues throughout
the meeting. The Sons of
Norway Director of Agencies,
Fraternal Director, Director
of Information Technology,
Director of Insurance Services,
Actuary, Controller and
Foundation Director all joined
the meeting to give oral
summaries and supplements to
the written report.
The Executive Committee will
review the Corporate Succession
Plan at each spring meeting.
MOTION was made directing
Legal Counsel to examine tax
implications, if any, with the
dissolution of Gjemtedal 5-639.
Motion carried.
The District President's
Council, meeting in Minneapolis
at the same time as the
International Board, was invited
to join the Board of Directors.
The following District Presidents
were present: Gloria Benazic,
Chair, District 7; Barbara
Olson, District 1; Mark Agerter,
District 2; Gail Ekloff, District 3;
Martha Elliott, District 4; Don
Hermanson, District 5; Lyle
Berge, District 6; Odd Harald
Olsen, District 8.
The following Board of
Directors Committees met:
Corporate Matters Committee:
Chair Jon Tehven, Ernst Granly,
Janie Kelly and Marci Larson;
Benefits Committee: Chair
Erlene Stevenson, Bob Hoover,
Ralph Peterson and Ron
Stubbings; Finance/Investment
Committee: Chair Bill Fosmoe,
Elaine Nelson and Ray Knutson.
MOTION was made by the
Finance/Investment Committee
to review the audit requirement
after Washington 3-428's tax
exemption is reinstated by
the Internal Revenue Service.
Motion carried.
MOTION was made by the
Finance/Investment Committee
to accept the Board Member
Expense Report for the period
from Jan. 1, 2012 to Dec. 31, 2012.
Motion carried.
MOTION was made by the
Finance/Investment Committee
to accept the Investment
