Board of Governors Meeting

Foundation Board of Governors
Meeting was held April 22-23,
2013 at the Best Western Normandy Inn
Hotel and Sons of Norway Headquarters in
Minneapolis, Minn. The following officers
were present: President Marit Kristiansen,
Vicepresident Ingeborg Sorensen, Secretary
Blaine Hedberg. Governors present were
Thomas Heavey, Carl Ingvoldstad, Jon
Tehven, Doug Warne and Ralph Haug.
Nonvoting board members attending
included: Chief Executive Officer Eivind
Heiberg, Legal Counsel David Ness,
Treasurer Lee Goranson and Foundation
Director Cindy Olson.
Cindy Olson discussed the Foundation's
current nominating committee procedures
and outlined how the committee
candidates are appointed, and detailed the
processes to identify new candidates. A
new online nominating application will be
released on the Sons of Norway website by
the end of June 2013.
MOTION was made and seconded to
strike Item 3 under the Board of Governors
Fundraising section, which currently reads,
" Making a significant gift annually or a
written commitment for a major or planned
gift. " Motion failed.
MOTION was made and seconded to
modify item 3 to read, " Providing affluence
in giving as much as you possibly can. "
Motion failed.
MOTION was made and seconded to
remove the word " significant " from item
3, and to change the text to " Making a gift

annually or a written commitment for a
major or planned gift. " Motion carried.
MOTION was made and seconded to
accept the Sons of Norway Strategic Oversight
and Visionary Board Model document with
the noted changes. Motion carried.
The board asked Cindy Olson and Lee
Goranson to study establishing a vocational
school scholarship within accredited
vocational schools, discuss criteria for such
a scholarship, and to bring their findings to
the next board meeting.
Lee Goranson shared a draft copy of
the recently prepared Foundation Audit
Committee Charter and Committee
Member Agreement document. Motion
was made and seconded to accept this
charter and agreement. Motion carried.
MOTION was made and seconded to
amend a portion of Article 1, Item 2 to
now be Article 1, Item 2a and read, " The
voting members of the Board of Governors
shall consist of six elected members,
the International President of Sons of
Norway, and up to two members of the
International Board appointed by the
International President. " Motion carried.
MOTION was made and seconded to
amend the second half of Article 1, Item 2,
now referred to as Article 1, Item 2b and
read, " A Nominating Committee shall be
appointed by the International President
to evaluate candidates. The committee
shall consist of members from the Board
of Governors and the International Board
with a majority from the elected Board of
Governors. " Motion carried.
MOTION was made and seconded
for Article 1, Item 3 to read, " The term
of a member of the Board of Governors
elected, pursuant to paragraph above,
shall be two years with a maximum
of three consecutive terms. " Further
discussion added, " Any current board
members with a three year term would be
grandfathered in. " Motion carried.
MOTION was made and seconded for
Article 1, Item 4 to read, " Should there be
a vacancy among the elected members of
the Board of Governors, the vacancy shall
be filled by an election of the remaining
voting members of the Board of Governors
at any annual or special meeting. Such
election shall constitute a term. Should
a vacancy arise among an appointed
member of the Board of Governors, the
President shall appoint the replacement. "
Motion carried.
MOTION was made and seconded for
Article 1, Item 7 to read, " Special meetings
of the Board of Governors shall be called by
the President on four days' notice to each
Governor. " Motion carried.
MOTION was made and seconded to
add Article 1, Item 14 to read, " Minutes from
meetings shall be distributed within thirty
days of the meeting. " Motion carried.
MOTION was made and seconded for
the Sons of Norway staff to undertake a
feasibility study to determine if the idea of
adding Sons of Norway Lodge scholarship
funds to the Foundation and distributing
interest from these funds back to the
lodges for distribution to their chosen
