401(k) cost of 6.5%. This includes a 3% match
and a 3.5% discretionary contribution based on

MOTION was made by the Finance/Investment
Committee to approve the International
Board Member Expense Report for the
period January 1, 2013 to September 30, 2013.
Motion carried.
MOTION was made by the Finance/Investment
Committee to approve Insurance
Document Signing Authority of any two of the
specified individuals listed in Exhibit L and that
Dean D. Nelson, Assistant Secretary, also have
General Document Signing Authority as listed
in Exhibit L. Motion carried.
MOTION was made by the Finance/Investment
Committee to approve the Audit Committee
Report dated November 8, 2013 and the
Audit Committee Chairman forward a signed
copy of the engagement letter dated November
8, 2013 to Eide Bailly. Motion carried.
MOTION was made by the Finance/Investment
Committee to approve the Sons of
Norway Foundation proposed general expense
budget for the year 2014. Motion carried.
MOTION was made by the Finance/Investment
Committee to approve the Sons of
Norway Foundation Audit Committee Report
dated November 8, 2013 and the Audit Committee
Chairman forward a signed copy of the
engagement letter dated November 8, 2013 to
Eide Bailly. Motion carried.
It was also recommended that any recommendations
that this body has for the Foundation
should be sent to President Kristiansen, to
present to the Board of Governors.
MOTION was made and seconded to
accept the Proposed Budget Report for the
2014 Convention as provided by Marci Larson.
Motion carried.

The Sons of Norway Foundation Board
of Governors met by teleconference on
Tuesday, September 23, 2013.
President Kristiansen called the meeting
to order at 11:08 a.m. CST.
Secretary Hedberg called the roll:
Present: President Marit Kristiansen,
Secretary Blaine Hedberg, Governors
Ralph Haug, Thomas Heavey, Carl
Ingvoldstad, Doug Warne, and Jon Tehven.
Nonvoting members present included
Chief Executive Officer Eivind Heiberg,
Treasurer Lee Goranson and Foundation
Director Cindy Olson. Vice President
Ingeborg Sorensen and Legal Counsel
David Ness were unable to attend.
MOVED/SECONDED to approve the
April 22-23, 2013 minutes of the Board of
Governors Meeting. PASSED
Treasurer Goranson reviewed the
Foundation's Treasurer's Report through
June 30, 2013.
Foundation Director Cindy Olson
reported, highlighting the Helping Hands
to Member grants awarded to seven SON
member flood victims in Calgary, Alberta
and one in Colorado.
MOVED/SECONDED to update the
Helping Hands to Members program to
include a $1,000 grant to any member
displaced from their residence, even if
they do not own a home. PASSED
The Local Lodge Scholarship Survey
results were reviewed.
All Sons of Norway members received an
email from the Foundation announcing the
three openings on the Foundation Board
of Governors. The Nominating Committee
will report their recommendations to the
Foundation Board in November.
A new legacy gift from a California
couple has been identified by Carl
Ingvoldstad. The specific details will be
reported at the Spring Board meeting.

Foundation Director Cindy Olson
reported on current and planned
marketing strategies including: a joint
seminar with the Red Cross on estate
planning, a new Donor Recognition
Society and a Lodge Recognition Society
to be introduced at the 2014 International
Convention; the Viking ship print and online
auction fundraisers.
The 2014 Nobel Peace Prize Forum
in Minneapolis was awarded a General
Heritage & Cultural Grant of $1,500 earlier
this year.
MOVED/SECONDED to approve an
additional $1,000 to qualify as a major
sponsor. PASSED
The Sons of Norway Foundation has
been approved as an eligible group within
Thrivent Financial for Lutherans program,
Thrivent Choice Dollars. The Thrivent
Choice program offers ways eligible
members can designate where Thrivent
Financial distributes some of its charitable
outreach funds.
Marit Kristiansen reported on
the Board of Governors' April 23,
2013 recommendation for a bylaw
change regarding the number of SON
International Board of Directors that could
be appointed to the Board of Governors.
MOVED/SECONDED that the SON
Board of Governors' Bylaws be changed
to reflect that the President may appoint
up to two members of the International
Board, rather than the currently stated
three. PASSED
