International Board of Directors
Spring Meeting
May 8-10, 2014
T
he Spring 2014 Meeting of the
International Board of Directors
was held May 8-10, 2014, at
the Sons of Norway Headquarters in
Minneapolis, Minn. The following Officers
and Directors were present: President Marit
Kristiansen, Secretary Jon Tehven, Treasurer
Bill Fosmoe, and Directors Bob Hoover,
Marci Larson, Elaine Nelson, Ray Knutson,
Janie Kelly, Ron Stubbings and Ernst
Granly. Attending from the staff were Chief
Executive Officer Eivind Heiberg and Legal
Counsel David Ness.
Vice President Ralph Peterson and
Director Erlene Stevenson were excused
from the meetings. Mark Agerter attended
as alternate to District 2. Other senior staff
joined the meeting as called by the Board.
Don Mark, attorney from Fafinski Mark
and Johnson and Bill Ruskin, attorney
from Epstein Becker Green briefed the
International Board of Directors on the
ongoing legal issues in District 3.
Audit Partner Dave Glennon and Senior

Audit Manager Joe Pope and Senior
Auditor Aaron Stenhaug of Eide Bailly
presented the 2013 Audit of Sons of Norway.
It is the opinion of the auditors that the
financials were presented fairly, which
means that it was a clean, unqualified
audit. Joe proceeded to review some of the
highlights of the audit while Dave reviewed
the Management Letter and Letter of
Representation.
The auditors also made a note of a
significant deficiency, due to the limited size
of office staff within our organization. They
also made note of the resolutions made by
the staff regarding this deficiency.
Jeff Birdsley and Jon Augustine of
BTC Capital Management presented
the Sons of Norway investment portfolio.
The presenters provided a review of the
economic outlook and how the current
investments are in line with the revised
investment policy.
Controller Dean Nelson presented the
first quarter financials. Actuary Dean Stiller
presented an overview of the Actuarial
Memo. Other questions involved the status
of the Washington Lodge #3-428.
MOTION was made and seconded
to withhold reinstated Sons of Norway
Washington Lodge 3-428's outstanding
Lodge Liability payments from the dues
held in escrow before releasing those funds
back to the lodge. Motion carried.
Kevin O'Neill of Colliers International
spoke of the current rental market in
relation to Sons of Norway's building
rental space.
Minutes were approved of the
following International Board Meetings:
Nov. 6-9, 2013; Nov. 22, 2013; April 14, 2014;
April 29, 2014.
MOTION made and seconded to
complete the American Fraternal Alliance
Board Self-Assessment by July. Motion
carried. The results will be presented to
the Board at the 2014 August International
Board Meeting.
