presented an overview of the committee
meeting that was held on Thursday night.
All eight of the districts are presenting
the nominating committee resolutions.
Discussion followed on the legislation being
proposed in Illinois and the Filing Model
Regulation being proposed by the NAIC. In
regard to governance, Sons of Norway is
ahead of the curve in many ways. We hope
to continue to position ourselves so that we
are ready when the legislation becomes
a directive.
MOTION was made and seconded
that Sons of Norway will pay for Board
Members who wish to attend the Innovative
Leadership Convention. Motion carried.
President Kristiansen provided the
International Board with a synopsis of the
Board of Governors' Meeting, which had
been held May 6-7, 2014.
The following bylaw changes where
approved by the Board of Governors and
must be approved by the International
Board of Directors.
Motion was made to remove change
Article III, Section 1, last sentence to:
" The Audit Committee shall be appointed
by the Sons of Norway Foundation
President. "
MOTION to approve bylaw change.
Motion carried.
Motion was made the change Article IV,
Section 2, " The International President of
Sons of Norway shall be the President of
the Sons of Norway Foundation. " To " The
Sons of Norway Foundation President will
be elected at the Fall Meeting, among the
members of the Board of Governors'. "
MOTION to approve bylaw change.
Motion carried.
Motion was made that Article IV, Section
2, will take affect at the Fall 2014 Board of
Governors' Meeting.

The District President's Council, meeting
in Minneapolis at the same time as the
International Board, was invited to join the
Board of Directors. The following District
Presidents were present: Gloria Benazic,
Chair, District 7; Barbara Olson, District 1;
Mary Anderson, Alternate for District 3;
Martha Elliott, District 4; Don Hermanson,
District 5; Lyle Berge, District 6; Odd Harald
Olsen, District 8.
President Kristiansen related to the
District Presidents what has so far transpired
during the International Board Meeting.
The District Presidents presented their
recommendations to the International
Board.
The following Board of Directors
Committees met: Corporate Matters
Committee: Jon Tehven, Chair; Ernst
Granly, Janie Kelly and Marci Larson;
Benefits Committee: Ron Stubbings,
Chair; Mark Agerter and Bob Hoover;
Finance/Investment Committee: Bill
Fosmoe, Chair; Elaine Nelson and
Ray Knutson.
MOTION was made by the Finance/
Investment Committee that $475 be
provided to each committee member
for committee meetings prior to the
convention, to cover the cost of lodging
and meals for the 2014 International Lodge
Meeting. Motion carried.
MOTION was made by the Finance/
Investment Committee to accept the 2013
Audit as presented by Eide Bailly and have
been approved by the Audit Committee.
Motion carried.
MOTION was made by the Finance/
Investment Committee to approve the BTC
Capital Management report. Motion carried.
MOTION was made by the Finance/
Investment Committee to approve using
facsimile signatures for checks under $5,000
and wet signatures on checks over $5,000.
Motion carried.
MOTION was made by the Finance/
Investment Committee to have Actuary
Dean Stiller prepare a message for the
International Board Director of each District
to present at their 2014 District Convention.
This message would convey to delegates
how important it is to increase the
percentage of benefit members.
Motion carried.
MOTION was made by the Finance/
Investment Committee to approve the
Board Member Expense Report for the
period from October 1 to December 31, 2013.
Motion carried.
MOTION was made by the Benefits
Committee to approve that Chapter
6, paragraph 2.6.1. of the Charter and
Constitutions be changed " factor of 400
members " be changed to " 300 members. "
Motion carried.
MOTION was made by the Benefits
Committee to approve that Chapter
9, paragraph 2.9.3. be amended to " ...
must be forwarded to the International
Board of Directors at least 30 days prior
to the opening of the International Lodge
meeting. " Motion carried.
MOTION was made by the Benefits
Committee to accept the application of
Helgeland #2-030 for a lodge improvement
grant in the amount of $1,000, which is
the maximum amount allotted of their
$6,758.34, which does not exceed the 25%
allowed. This acceptance is pending receipt
of confirmation of compliance with all
applicable laws and regulations.

MOTION was made by the Benefits
Committee to accept the application of
Lodsen #4-138 for a lodge improvement
grant in the amount of $500. The cost of
their project is $2,090. The grant does not
exceed the 25% allowed. This acceptance
is pending receipt of confirmation of
compliance with all applicable laws and
regulations. Motion carried.
