MOTION was made by the Benefits
Committee to approve that the
International Secretary compile a " bullet
point talking list " of items from the Board
Meeting that are not of a sensitive or
confidential nature, and these talking
points be distributed to the International
Board of Directors and District Presidents'
Council within 21 (twenty-one) days of the
adjournment of the meeting.

MOTION was made by the Corporate
Matters Committee to approve that the
International Board may conduct email
votes via the internet for the purpose
of expediting business decisions, and
the vote shall be received within five
business days, with Board members being
allowed the first three days within which
to share their opinions and/or request a
teleconference. Motion carried.
MOTION was made by the Corporate
Matters Committee to approve that the
International Board continue its selfassessment
every biennium as part of
continued good governance.

MOTION was made and seconded that
the Board take action on the lodges who
have not filed their 2013 D17s by
February 15, 2015.
MOTION was made by the Corporate
Matters Committee to approve that the
International Board of Directors shall
assign a District Representative to follow
up with each lodge not in compliance of
their D17/990 filing and report back to the
International Board by February 15, 2015,
with the status of each lodge.

Matters Committee to approve that
4.22.7.8 be added to read as follows: " If
no one from the local lodge takes the
responsibility to facilitate this process,
the District President and respective
Zone Director shall be responsible for
implementing the process. "

Investment Committee to approve
the Financial Reports as presented by
Controller Dean Nelson and Actuary Dean
Stiller. Motion carried.
MOTION was made by the Finance/
Investment Committee to approve the
Proposed 2015 General Expense Budget,
with the addition of $8,000 for Leadership
Training, based on $1,000 per District,
line item 70181 under Strategic Planning.

MOTION was made by the Finance/
Investment Committee to approve the
2015 Total Operating Forecast and Five
Year Projection 2015-2020. Motion carried.
MOTION was made by the Finance/
Investment Committee to approve
the 401(k) cost of 6.5%. This includes
a 3% match and a 3.5% discretionary
contribution based on qualified payroll.
The Finance/Investment Committee
recommends approval of this budget.

International Board Member Expense
Report for the period of January 1, 2014 to
September 30, 2014. Motion carried.
MOTION was made by the Finance/
Investment Committee to approve the
2015 Refund to Members Resolution as
shown in Exhibit " L " of the Board Report
Book. Motion carried.
MOTION was made by the Finance/
Investment Committee to approve the
Audit Committee Report dated October 21,
2014 and the Audit Committee Chairman
forward a signed copy of the engagement
letter dated November 15, 2014 to Eide
Bailly. Motion carried.

Capital Management Report.

Investment Committee to approve that
the following sentence be added to the
Statement of Investment Policy Section
5.b.11. " The above limits will not apply
when a bond currently owned is swapped
for a bond of the same company. " Motion
carried.

Investment Committee to approve the
purchase of a tablet and supporting
software for each member of the
International Board. The Committee
