if appropriate; software(s) most suitable
and secure for the Board's requirements.

MOTION was made and seconded
to approve the minutes of the Audit
Teleconference of November 5, 2014.
Motion carried.
MOTION was made and seconded
to adopt the six metrics as proposed
by the senior staff as the items to
measure for the success of the strategic
planning initiatives. These will include: 1.
Number of Insurance Members; 2. Total
Life Insurance Premium; 3. Number of
Insurance Members in Local Lodges; 4.
Survey of Membership Satisfaction; 5.
Local Lodge Officer Training; 6. Number
open top officer positions in Local
Lodges. Motion carried with specific
numbers to follow.
MOTION was made and seconded
to thank the staff for all that they do.
Motion carried.
MOTION was made and seconded to
accept the 75 percent of the standard
mileage rate per Norwegian and
Canadian governments. Motion carried.
There being no further business, the

Board of Governors met
by teleconference on Friday,
November 21, 2014, at 10 a.m. Those in
attendance: President Jon Tehven, Vice
President Ingeborg Sorensen, Secretary
Blaine Hedberg, Governors Carl Ingvoldstad,
Dan Rude, Doug Warne, Tom Heavey,
and Elaine Nelson. Non-voting members
included: Chief Executive Officer Eivind
Heiberg, Foundation Director Cindy Olson,
Foundation Treasurer Dean Nelson, and
Legal Counsel Dave Ness. Sons of Norway
International Treasurer & Chair of the
Foundation Audit Committee, Ray Knutson
was also in attendance.
Foundation Director Cindy Olson gave
the Foundation Director report, highlighting
the new level of giving program
entitled Klubb 250, Klubb 500 and Klubb
1,000; the four Red Cross/Sons of Norway
Foundation Charitable Giving seminars;
and the $25,000 legacy gift from the estate
of John Ryvik, received in October. The
Ryvik gift will be invested for Americans to
study in Norway.
MOTION was made and seconded to
approve the minutes from the May 6-7,
2014 Foundation Board of Governors.
Motion carried.
MOTION was made and seconded to
approve the Foundation Audit Committee's
report, as presented by Ray Knutson.
Motion carried.
MOTION was made and seconded to
Dan Rude, Secretary
approve the BTC Capital Management's
Investment Advisors report as presented
by Dean Nelson. Motion carried.
Dean Nelson highlighted the Foundation
financials through September 30,
2014. MOTION was made and seconded
to approve the financial documents as
printed. Motion carried.

MOTION made and seconded to approve
the budget as printed and presented
by Dean Nelson. Included in the proposed
budget are the services of a Minneapolis
based consulting firm, Next Level Giving,
to assist the Foundation in establishing a
concrete planned giving program.
Motion carried.
MOTION was made and seconded to
leave the Ryvik legacy gift funds in the
unrestricted account and used for the Oslo
Summer School program. Motion carried.
MOTION was made and seconded to
approve the March 2014 updated bylaws as
written. Motion carried.
MOTION was made and seconded
to add the following paragraph to the
Foundation Bylaws. " That Sons of Norway
Financial Benefits Counselors shall not be
elected/appointed to the Sons of Norway
Foundation Board of Governors. "
Motion carried.
Election for President resulted in two
nominations, one of which was withdrawn.
MOTION was made and seconded to close
nominations. Motion carried.
Executive slate to be: Ingeborg
Sorensen, President; Tom Heavey, VicePresident;
Blaine Hedberg, Secretary;
Jon Tehven, appointed; Doug Warne,
appointed. MOTION was made and
seconded to accept this slate of officers
for 2015, by acclamation. Motion carried
unanimously to elect the slate of officers.
The meeting adjourned at
12:32 p.m. CST.
