was scheduled for June 5. One topic of
discussion were some of the membership
figures and spreadsheets that get
distributed. They are very labor intensive to
Headquarters Staff and there is a question
as to if there was any need for it in this
format.
MOTION was made and seconded to
approve the Sons of Norway Code of Ethics
and Conflict of Interest policy as distributed
in the Board Book. Discussion. Motion
carried.
The District President's Council, meeting
in Minneapolis at the same time as the
International Board, was invited to join the
Board of Directors. The following District
Presidents were present: Mark Agerter,
Chair, District 2; Barbara Olson, District 1;
Mary Andersen, District 3; Martha Elliott,
District 4; Owen Christianson, District 5;
Mary Beth Ingvoldstad, District 6; Erik
Brochmann, District 7; Per Mikalsen,
District 8.
The District Presidents presented their
recommendations to the International
Board.
President Tehven related to the District
Presidents what has so far transpired
during the International Board Meeting.
The following Board of Directors
Committees met: Benefits Committee:
Erlene Stevenson, Chair, Bob Hoover, Lyle
Berge and Ron Stubbings; Corporate
Matters Committee: Marci Larson,
Chair, Jon Grinde and Dan Rude; Finance/
Investment Committee: Ray Knutson,
Chair, Elaine Nelson, Gloria Benazic and
Odd Harald Olsen.
MOTION was made by the Benefits
Committee that the International Board of
Directors approve the request of Christiania
Lodge #8-004 of an honorary membership
for Professor Ole O. Moen. Motion carried.
MOTION was made by the Benefits
Committee that lodges applying for a
Lodge Improvement Grant must meet the
lodge real estate requirements as set by
the board and as provided in the Charter
and Constitution. Applications from noncompliant
lodges shall be denied. Said
lodges, upon providing documentation of
full compliance may re-apply for a Lodge
Improvement Grant. Motion carried.
MOTION was made by the Benefits
Committee to accept the application of
Arctic Viking Lodge #2-117 for a lodge
improvement grant in the amount of
$1,000, which is the maximum amount
allotted of their $5,576.45, which does not
exceed the 25% allowed. Motion carried.
MOTION was made by the Benefits
Committee to accept the the application
of Nor-bu Lodge #3-427 for a lodge
improvement grant in the amount of $1,000,
which is the maximum amount allotted of
their $7,539.00, which does not exceed the
25% allowed. This grant is contingent upon
Sons of Norway Headquarters receiving
documentation that Nor-Bu Lodge #3-427
is fully compliant with Section 1.17.1. of the
Charter and Constitutions. Motion carried.
MOTION was made by the Corporate
Matters Committee to approve that policy
of the " Minutes of Executive Committee
meetings " be revised to " Minutes of
Executive Committee meetings " will
be circulated to Executive Committee
members for comments, after which, the
International President will present an oral
summary to the International Board of
Directors, Chief Executive Officer and Legal
Counsel. Motion carried.
MOTION was made by the Corporate
Matters Committee that all local lodge
corporations, districts, and district
corporations be required heretofore to file
the D17 financial statement annually with
Sons of Norway, and that if these entities do
not file the D17 Form as required, Sons of
Norway will withhold dues reimbursements
to the associated local lodge or district
lodge, and that Chapter 17 of the Sons of
Norway Charter and Constitutions shall
add the following to paragraph 1.17.1.:
" The separate non-profit corporation
shall file Form D17 with Sons of Norway
Headquarters. "
In addition, the separate non-profit
corporation shall register and obtain IRS
501(c)(2) tax status. Motion carried.
MOTION was made by the Corporate
Matters Committee that the U.S. lodges at
all levels of Sons of Norway: Local, District,
and International, be required to have
their real estate property held by a Holding
Corporation registered with the Internal
Revenue Service of the United States of
America as 501(c) (2) entities, and only as the
same; that the Sons of Norway International
Board of Directors take action to draft and
sponsor a bylaw change to the Constitution
