The Foundation Board of Governors received training
from MAP for Nonprofits regarding the roles and
responsibilities of board members in financial
leadership, strategy, governance, fund development
and supporting the CEO and Foundation Director.
Fraternal Director of Sons of Norway Linda
Pederson gave an update on strategic planning and the
framework for upcoming communications and events.

Grantmaking was discussed and a MOTION was made
to authorize staff to go forward with planning for a
Lodge Vitality Fund (working title). Motion carried.
Details will be forthcoming.
MOTION was made to direct the Foundation staff to
prepare wording to revise the Helen Trondvold fund
to broaden the applicant base. Motion carried. Details
will be forthcoming.
MOTION to change the minimum age for all board
designated scholarships to high school seniors (not
limited to 18 years or older). Motion carried.
MOTION to change the King Olav V NorwegianAmerican
Heritage scholarship to include post-graduate
studies. Motion carried.
MOTION made to set the maximum age for scholarship
applicants to apply under their parents or grandparents'
membership at 26. Motion carried.
A Legacy Society is being created to honor deferred
giving donors and includes revocable gift pledges.
Eide Bailly representative Beth Bird gave a review of
the Independent Auditor's Report as of Dec. 31, 2016,
and management letter.
MOTION was made to approve the 2016 audit report
and management letter. Motion carried.
BTC Capital Management representative Annette
Shaw conducted an overview of the Foundation's
asset performance for 2016. BTC also made proposed
revision recommendations to the Foundation's
spending policy at the Board's request made in
October 2016.
MOTION made to adopt the new spending policy.
Motion carried.
MOTION made to adopt the investment policy.
Motion carried.
Committee reports were provided.
MOTION made to approve minutes of audit committee
meeting. Motion carried.
MOTION was made for the Board to conduct a selfassessment.
Motion carried.
Four Foundation board positions will be open for
re-election. Three governors have stated their intention
to re-apply while one abstained. The Foundation will
seek candidate applications to be reviewed by the
nominating committee.
MOTION was made that the Foundation Board of
Governors recommends to the Sons of Norway
International Board of Directors that they adopt the
changes made to the Foundation Bylaws.
MOTION to amend the wording of Article 2,
Paragraph 2.a:
" ... including two (2) members of the International
Board of Directors and two (2) who are chosen at
large, one of whom need not be a Sons of Norway
member. "
MOTION to amend carried.
Motion carried for the Foundation Board to recommend
to the Sons of Norway International Board that
they adopt the changes made to the Foundation Bylaws
as amended.
MOTION made to replace the Finnish flag in the set
of Nordic flags inside the board room. Motion carried.
The next full meeting of the Sons of Norway Board
of Governors will be Sunday, Nov. 5 through Tuesday,
Nov. 7, 2017.
