have all the same rights, privileges and
obligations as a duly elected director. They
will require the same vetting and serve for
a 2-year term, not to exceed 2 terms of

RESOLUTION - 990/D17
Pursuant to enforcement of the resolution of the International
Board regarding late filings of D17 and 990 filings:
Whereas Sons of Norway requires timely filing of the annual
financial statement or D17, and,
Whereas the IRS requires timely filing of the annual 990
report, of which failure to file may have serious consequences
for the entire organization, and,
Whereas all delinquent lodges have been adequately notified
of their delinquent status for some time;
Therefore be it resolved that all lodges on the current out of
compliance list have their dues withheld as of Dec. 1, 2017;
And be it further resolved that should compliance not be met
by Jan. 1, 2018 said lodges will be suspended until such time
as compliance is achieved;
And be it further resolved that until such time as the
delinquencies are resolved said lodges will be prohibited from
sending delegates to their respective district conventions.
Motion carried.
RESOLUTION - Additional Meetings of the International Board
of Directors
Whereas good governance and prudent management should
dictate more frequent meetings of the International Board
to review financial results and any other matters that are
pertinent;
Therefore be it resolved that Chapter 14, Paragraph 2.14.1 be
amended as follows:
2.14.1 MEETINGS
International Board of Directors shall meet not
less often than semi-annually and the Executive
Committee shall meet at least once in the interval
between International Board of Directors
meetings. Additionally, the International Board of
Directors shall meet via teleconference in midMarch
to review 1st quarter financials and again
in mid-August to review 2nd quarter financials.
At both of these meetings, such other business as
deemed necessary shall be addressed.

RESOLUTION - LODGE LIABILITY INSURANCE
Pursuant to enforcement of the resolution of the International
Board regarding late payment of Lodge Liability assessments:
Whereas each lodge of the Sons of Norway organization is
obligated to pay a portion of the overall liability insurance
bill, and,
Whereas unpaid portions of that insurance present a liability
for the entire organization, and,
Whereas all delinquent lodges have been adequately notified
of their delinquent status;
Therefore be it resolved that all lodges on the current out of
compliance list have their dues withheld as of Dec. 1, 2017;
And be it further resolved that should compliance not be met

RESOLUTION - Vetting Candidates for International Director
Whereas, good governance requires that the most qualified
candidates are slated to run for positions on the International
Board of Directors, and,
Whereas, the International Nominating Committee has the
best overview and knowledge of the skills and proficiencies
required of candidates for those positions, and,
Therefore be it resolved that Chapter 7, Paragraph 3.7.7 be
amended to read as follows:
3.7.7 The District Board of Directors shall elect a
Nominating Committee of no fewer than three (3)
and no more than five (5) members of the District.
The purpose of the Nominating Committee is to
identify, review, and recommend eligible candidates
for the election of International Director. The
Nominating Committee shall elect the Committee
Chair from the elected committee members. No
member of the Nominating Committee shall be a
candidate for election as International Director.
Members of the District may submit candidates
to the Nominating Committee as determined by
the District Lodge. Candidates for nomination
to the International Board of Directors shall be
benefit members and must meet all eligibility
