Motion made by the Corporate Matters & Governance
Committee that the Sons of Norway Constitution under Section
2 - International Lodge, Chapter 11, Paragraph 2.11.4 Nominations,
be amended by adding a Paragraph 2.11.4.2.1, which would read as
follows:
2.11.4.2.1 With the possibility of a District's Nominee to be
the Alternate to the District's Director being elected
to the International Board, thus creating a vacancy
in the Alternate position, the District Delegation
shall caucus at the earliest possible moment after
the International Lodge Meeting elections and
choose from among their delegation an Alternate
Nominee. The Nominee is already a known Benefit
Member and a Delegate. The Nominee shall
be immediately reported to the International
Nominating Committee, which shall have 30 days
from receipt of such name within which to secure
a Candidate Leadership Application and conduct
such vetting as is necessary. Should the Nominee
not be acceptable to the International Nominating
Committee, it shall be the District's responsibility
to secure a subsequent Nominee through a District
Delegate Referendum (See Section 3 - District
Lodge, Chapter 10, Paragraph 3.10.4), and then
provide that name to the International Nominating
Committee, which shall again have 30 days
within which to confirm the Nominee through
the necessary processes of securing the CLA
and vetting.

Motion made by the Corporate Matters & Governance
Committee that Constitution Paragraph 4.21.1 Annual Reports be
amended to read as follows:
4.21.1
Annual Reports
The Local Lodge shall file a Financial Statement
(Form D17) with Sons of Norway headquarters
annually. The Financial Report shall be prepared
in the format(s) required and submitted to Sons
of Norway headquarters. Failure to file in a
timely manner will result in Sons of Norway
withholding dues reimbursements until such
reports are received.

Motion made by the Corporate Matters & Governance
Committee that Constitution Paragraph 3.21.1 Annual Reports be
amended to read as follows:
3.21.1
Annual Reports
The District Lodge shall file a Financial Statement
(Form D17) with Sons of Norway headquarters
annually. The Financial Report shall be prepared
in the format(s) required and submitted to Sons
of Norway headquarters. Failure to file in a
timely manner will result in Sons of Norway
withholding dues reimbursements until such
reports are received.

as follows:

The separate non-profit corporation, as referred
to in chapter 1.17.1 of the Constitution, shall file a
Property Corporation Financial Statement with
Sons of Norway headquarters annually.

Committee that Paragraph 3.21.1.1 be added to the Constitution
as follows:

Annual Reporting
The separate non-profit corporation as referred
to in Chapter 1.17.1 of the Constitution shall file a
Property Corporation Financial Statement with
Sons of Norway headquarters annually.

Motion made by the Corporate Matters & Governance
Committee that Paragraph 6.22.1.2.3 be removed from the
Policies & Procedures. Motion carried.
Motion made by the Corporate Matters & Governance
Committee that Paragraph 4.22.6.3.3 be removed from the
Charter & Constitution. Motion carried.
Motion made by the Finance/Investment Committee to
approve the revised Property Corporation Financial Form.

Motion made by the Finance/Investment Committee to
revise Constitution 2.11.10 Officer and Director stipend to read:
2.11.10 Officer and Director Stipend
The International Officers and Directors shall receive a stipend
as determined each biennium by the International Lodge upon
the recommendation of the International Board of Directors.
Motion carried.
Motion made by the Finance/Investment Committee to
approve the Audit Committee Report and to accept the Financial
Statements of Dec. 31, 2017 and 2016, Management Letter, and
Internal Controls Letter as presented by Eide Bailly.
Motion carried.
Motion made by the Finance/Investment Committee to
approve the International Board Member Expense Report for the
period Jan. 1, 2017 to December 31, 2017. Motion carried.
