Evolving Through Strategic Acquisitions
Between 2009 and 2019, OppenheimerFunds has sought to expand its offerings through a series
of strategic acquisitions, joint ventures, and targeted initiatives to anticipate and respond to the
evolving needs of clients. These acquisitions, joint ventures, and areas of expansion have served
to round out the firm's offerings and expand its footprint and capabilities into products as diverse
as master limited partnerships (MLPs), smart beta ETFs including ESG, high quality muni SMAs,
private credit, and serving nonresident clients across Europe and the Americas.
Some of the firm's most noteworthy additions have included the following:

OppenheimerFunds Acquires SteelPath,
a Leading-Edge MLP Investment Manager

In 2012, OppenheimerFunds announced it had successfully completed its
acquisition of SteelPath Capital Management and SteelPath Fund Advisors.
As an innovative and leading-edge energy infrastructure investments company
focused on the MLP sector, SteelPath offers a family of MLP-focused mutual
funds as well as privately available products.

OppenheimerFunds Expands into Smart Beta
ETFs with the Acquisition of VTL Associates
In 2015, OppenheimerFunds announced an agreement to acquire VTL Associates, an independent institutional investment firm best known for its
RevenueShares ETFs. The acquisition expanded OppenheimerFunds' active
client offering into the growing smart beta space. VTL managed $1.7 billion
for investors across eight ETFs and its separate accounts.

Ireland-Domiciled UCITS Platform

OppenheimerFunds Opens
EMEA Headquarters in London

In 2016, in an effort to better serve international and U.S.-based nonresident
clients, the firm launched OppenheimerFunds ICAV, an Ireland-domiciled
UCITS platform, and its sub-funds to provide new choices to offshore clients
and deepen relationships with consultants and investment platform providers.
The UCITS provide greater flexibility for global investors looking to access certain investment strategies, including Emerging and Developing Markets Equity,
Global Equity, and Global Value Equity.

In 2017, OppenheimerFunds announced the opening of its headquarters for
Europe, the Middle East, and Africa (EMEA) in London. The office would allow
OppenheimerFunds to expand the distribution of its investment strategies,
including its growing number of UCITS offerings, across the region and would
be a critical component of the firm's international strategy. Having a local presence enhanced the firm's capabilities to reach a growing EMEA client base and
provided access to its flagship strategies.

OppenheimerFunds Expands
Nonresident Client Business
In 2017, OppenheimerFunds expanded its Nonresident Client Consultant team
in Miami to help grow its distribution activities with U.S.-based, offshore investors. The firm looked to leverage its growing UCITS platform to better serve the
Latin American market across Florida and beyond.

OppenheimerFunds and the Carlyle Group
Form Joint Venture for Wealth Market
In 2017, OppenheimerFunds and the Carlyle Group announced a joint venture
to provide global private credit opportunities for high net worth (HNW) investors
and advisors, primarily focused on the U.S. market. The JV brought together
the Carlyle Group's core global credit expertise with OppenheimerFunds'
extensive product structuring and distribution capabilities.

OppenheimerFunds Acquires SNW Asset Management
In 2017, OppenheimerFunds reached an agreement to acquire SNW Asset
Management, an independent firm that focuses exclusively on building and
managing high quality fixed income portfolios in a customized and tax-efficient
way. The transaction expanded OppenheimerFunds' fixed income offering into
high quality municipal bonds and customized separately managed accounts.

OppenheimerFunds and Pictet Asset Management
Launch Global Environmental Solutions Fund
In 2018, OppenheimerFunds announced the launch of OFI Pictet Global Environmental Solutions Fund, an environmentally focused equity fund, sub-sub-advised
by Pictet Asset Management, a unit of Pictet Group. The strategy takes a unique,
holistic approach to environmental investing by focusing on companies that provide
products or services that actively contribute to addressing environmental challenges.
